Founding Sponsorship (please note that sponsorship operates on a rolling calendar year) - $5000 for 3 years 1. Company logo recognition on all member twice a month emails / all marketing materials. 2. Announcement and standard placement on the website homepage on the IL-RUG website AND the preferred sponsors page at the top of the page with a direct link to company’s website and company description and contact information. 3. Ability to share sponsorship and partnership across channels and events. 4. Announcement of sponsorship on LinkedIn at the time of sponsorship and annually for the duration of the sponsorship. 5. Prioritization for future in person event sponsorship. 
Permanent Sponsorship Add-on - $2500 (must be indicated at time of sign-up, this offer is not available unless chosen as part of the founding sponsorship option) 1. Permanent logo placement on the IL-RUG website homepage and sponsorship page.
Face to Face Event Sponsorship - $8000-$12000 (please indicate if you would also be interested in in person event sponsorship. Prioritization of in person event sponsorship is given to permanent and founding sponsors). 1. Sponsor and attend (participation limited based on event) an IL-RUG event.2. Booth space3. Depending on the event, a 5 minute presentation may also be available for an additional cost.

Terms and Conditions

TERMS AND CONDITIONS 1. Agreement Terms. By indicating an interest in sponsorship, the Sponsor agrees to the following terms and conditions. These terms and conditions are considered active until the Sponsorship term has been completed (as indicated in the Sponsorship option chosen). 2. Payment Terms. The Sponsor agrees to pay the monetary contribution prior to any sponsorship activities including session/event scheduling or coordination. Payments will be accepted via ACH, check or credit card. A 3% service fee will be charged for credit card payments. 3. Sponsor's Representations, Warranties, and Indemnification. The Sponsor represents and warrants that: a. They have the authority to enter into this Agreement. b. Sponsor hereby grants IL-RUG a limited, non-exclusive license to use Sponsor's trade names, trademarks, service marks and other proprietary information (the "Proprietary Information") owned by the Sponsor. IL-RUG's use of the Proprietary Information is subject to the approval of the Sponsor's designated representative. The Sponsor agrees that approval shall not be unreasonably withheld. c. Their intellectual property does not infringe on third-party rights. i. Sponsor further agrees to defend, indemnify, and hold harmless IL-RUG from any third-party claim alleging that the materials provided by or otherwise used by Sponsor infringe, misappropriate, or violate intellectual property rights, including from resulting damages, settlement, costs, and reasonable attorneys’ fees. d. If the presentation, session or event materials includes confidential property of any third-party, including Epic, any such disclosure shall be done in compliance with any confidentiality agreement between the Sponsor and third-party, and in compliance with federal, state, and local laws. i. Sponsor may not use, disclose, or otherwise distribute confidential information (whether it be protected personal information or protected health care information), if such use, disclosure, or distribution would violate federal, state, or local laws, including but not limited to information protected by the Health Insurance Portability and Accountability Act of 1996, the Illinois Personal Information Protection Act (815 ILCS 530 et seq.), or the Illinois Biometric Information Privacy Act (720 ILCS 5/16-30 et seq.), and any other federal, state, or local statute or regulation that governs the protection, security, or confidentiality of personal or sensitive information. ii. Sponsor agrees to defend, indemnify, and otherwise hold harmless IL-RUG from any third-party claim alleging that materials used, provided by, or otherwise distributed by a Sponsor collect, use, store, disclose, or otherwise process this confidential information in a manner that violates any federal, state, or local statute or regulation that that governs the protection, security, or confidentiality of personal or sensitive information. This shall defending, indemnifying, or otherwise holding harmless IL-RUG, including from resulting damages, settlement, costs, and reasonable attorneys’ fees. The Sponsor shall assume full control of the defense and settlement of any such claim, provided that it may not settle any matter imposing obligations, liabilities, or admissions on IL-RUG without ILRUG’s prior written consent. IL-RUG shall reasonably cooperate at the Sponsor’s expense. 4. IL-RUG’s Obligations. IL-RUG agrees to: a. Provide the agreed-upon benefits to the Sponsor. b. IL-RUG agrees that the Proprietary Information will be used only in connection with IL-RUG Member correspondence, IL-RUG social media, and Events to provide the benefits set forth in this Agreement. 5. No Endorsement, No Exclusivity. a. Sponsorship does not constitute and shall not be represented as an endorsement, approval, or certificate by IL-RUG of the Sponsor or its products, services, or activities. Sponsor may use IL-RUG’s name, logo, or trademark to acknowledge or advertise the sponsored-relationship between Sponsor and IL-RUG. Sponsor may not use IL-RUG’s name, logo, or trademarks in any other advertising, marketing, or promotional materials without IL-RUG’s prior written consent. To the extent that Sponsorship is for an event sponsorship including a presentation, Sponsor must have a disclosure at the beginning of the presentation that all information, belief, and advice contained therein is that of the Sponsor and not of IL-RUG. b. This sponsorship is non-exclusive. IL-RUG may enter into sponsorship or other similar arrangements with other companies, including, without limitation, companies with whom the Company may compete. 6. Term and Termination. This Agreement shall commence on the date of the sponsorship payment received. a. Term-based sponsorships: i. Term-based sponsorships will last until the end of the defined term period. ii. Term-based sponsorships may be terminated with 30 days’ written notice by either party. iii. No refund will be provided for any term-based sponsorship that is terminated before the completion of the term. b. Event-based sponsorships (including but not limited to all events, sessions, etc): i. Event-based sponsorships will last until approximately 10 business days after the defined Event (to allow for the completion of all obligations under the sponsorship). ii. Event-based sponsorships may be terminated with 60 days’ written notice by either party. iii. If proper notice is given under Section 5.b.ii, then terminated event-based sponsorships shall be entitled to a return of 90% of the sponsorship amount minus any other non-refundable amounts (such as purchased supplies or non-refundable deposits). iv. If proper notice is not given under Section 5.b.ii, then there will be no refund of the event-based sponsorship. c. The Sponsor may not assign, transfer, delegate, or subcontract any of its rights or obligations under this Agreement, whether voluntarily, involuntarily, by operation of law, or otherwise, without the prior written consent of IL-RUG. Any attempted assignment in violation of this provision is void and without effect. IL-RUG may assign this Agreement to a successor entity in connection with a merger, consolidation, reorganization, or transfer of substantially all of its assets or programs, provided that such successor is a substantially similar organization. d. IL-RUG reserves the right to reject any Sponsor materials, logo, or messaging that it deems inconsistent with its mission, values, or legal obligations, including materials that are discriminatory, political, misleading, or otherwise inappropriate for such context. 7. Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement (other than payment obligations) to the extent such failure or delay is caused by events beyond its reasonable control, including acts of God, fire, flood, severe weather, epidemic or pandemic, labor disputes, governmental orders or restrictions, war, terrorism, civil unrest, supply-chain disruptions, or failures of utilities or communications systems. This shall also include failures or delays in performance by third-parties (such as a venue) that would impact performance by either party. The affected party shall promptly notify the other party of the force majeure event and use commercially reasonable efforts to resume performance as soon as practicable. If a force majeure event continues for more than thirty (30) days, IL-RUG may modify, postpone, or cancel the sponsored program or event without liability, provided that it will use reasonable efforts to offer alternative benefits of comparable value where feasible. 8. Confidentiality. Both parties agree to keep the terms of this Agreement confidential. IL-RUG will not share individual information—including email or phone contact information—as a matter of practice with Sponsors, regardless of the amount of their sponsorship contribution. IL-RUG will not produce and disclose attendee or registration lists for Events. Such lists are deemed confidential and restricted by IL-RUG. If the Board member so chooses to share this information, it will be at the individual Board member’s sole discretion and may only contain that organization’s proprietary information. Any Board member’s decision to do business with the Sponsor will be outside IL-RUG control and will be in accordance with the Board member’s organizational policies and procedures. 9. Indemnification and Limitation of Damages. a. Sponsor shall indemnify, defend and hold harmless IL-RUG, its related entities, agents, officers, directors, employees, attorneys, successors, and assigns from and against any and all claims, losses, damages, judgments, settlements, costs and expenses (including reasonable attorneys' fees and expenses), and liabilities of every kind incurred as a result of: (i) any act or omission by Sponsor or its officers, directors, employees, or agents; (ii) any use by IL-RUG of Sponsor’s Property, website, or other information, products, materials, or services provided by Sponsor; and/or (iii) the inaccuracy or breach of any of the covenants, representations and warranties made by Sponsor in this Agreement. This indemnity shall require the payment of costs and expenses by Company as they occur. This section shall survive any termination or expiration of this Agreement. b. To the maximum extent permitted by Illinois law, IL-RUG shall not be liable to the Sponsor for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, loss of business opportunities, or loss of goodwill, arising out of or relating to the sponsorship or these Terms, even if advised of the possibility of such damages. IL-RUG’s total aggregate liability for any and all claims arising from or relating to the sponsorship shall not exceed the amount of the sponsorship fee actually paid by the Sponsor. Nothing in this clause limits the Sponsor’s obligations to indemnify IL-RUG or the IL-RUG’s right to seek equitable relief. 10. No Employment Relationship. The Parties do not intend for anything in this Agreement or in its performance to create an employer-employee relationship, partnership, agency, joint venture, joint employer, fiduciary or franchise relationship between the Parties. Under no circumstances will any employee of either Party be deemed to be an employee or agent of the other Party. 11. Governing Law and Dispute Resolution. a. The validity, construction, and enforcement of this Agreement are governed by the law of Illinois. If any part of this Agreement is found to be invalid or unenforceable, that portion of the Agreement shall not affect the validity or enforceability of any other provisions. In any action to enforce this Agreement, the complaining party shall bring the action in a state or federal Court in Cook County, Illinois. b. Each provision of this Agreement shall extend to and shall, as the case might require, bind and inure to the benefit of the parties and their respective heirs, legal representatives, successors, and assigns. c. In the event of any action, claim, or proceeding arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, court costs, and expenses incurred in enforcing its rights or defending against any claim of breach. For purposes of this provision, “prevailing party” includes any party that obtains dismissal, summary judgment, injunctive relief, or any other material relief in its favor. Nothing in this clause limits the IL-RUG’s right to seek equitable remedies or the Sponsor’s obligation to indemnify IL-RUG under this Agreement. d. The parties affirm that the consideration for this Agreement is as stated above, that they have received no other promise or Agreement of any other kind to cause them to execute this Agreement, and that this is the complete Agreement of the parties. e. This Agreement may be signed in counterparts and the signed counterparts shall be construed as one instrument for all purposes. Signed copies sent by facsimile or by electronic mail shall be treated as original signatures. 12. Entire Agreement. The payment of sponsorship indicates approval of the entire agreement between the parties and supersedes any prior agreements or understandings.
